1. Platform identification
These Terms of Use govern access to and use of Gaio ProcessOS, a solution operated by GAIO INNOTECH LTDA, CNPJ 28.575.989/0001-80, headquartered at Rua Jose Elias, 71, Sala 201, Bairro Jardim Karaiba, ZIP Code 38.411-201, Uberlandia - MG, Brazil.
By browsing the website or using the platform, the user declares that they have read and accepted these terms, as well as the applicable Privacy Policy.
2. Nature of the service
Gaio ProcessOS is a technology platform intended for structuring, executing, and monitoring operational processes with support from automations, integrations, and applied intelligence.
The solution does not constitute consulting, advisory services, management of the customer's data, or a substitute for business decisions. The user remains fully responsible for the choices, instructions, analyses, data inputs, and decisions made based on the use of the platform.
3. Registration, access, and account
To use platform features, the user may need to provide registration information such as email, username, password, contractual data, and, where applicable, payment data.
The user must keep credentials confidential, provide true and up-to-date information, and is responsible for all acts performed through their account.
GAIO may refuse, restrict, suspend, or cancel access in cases of suspected fraud, default, misuse, breach of these terms, or violation of applicable laws and policies.
4. Plans, billing, and cancellation
Any free, paid, or corporate Gaio ProcessOS plans may have scope, limits, pricing, commercial conditions, and contracting rules defined in the current offer or in a specific agreement.
In recurring paid plans, billing, adjustments, renewals, and cancellation will follow the conditions presented at the time of contracting. In enterprise or custom agreements, the commercial clauses agreed between the parties shall prevail.
Continued access after cancellation may follow the already paid cycle when this is provided for in the contracted plan.
5. User obligations
The user must use the platform lawfully, ethically, and consistently with its purpose, respecting third-party rights, applicable legislation, intellectual property, and security rules.
It is prohibited to submit unlawful, fraudulent, offensive, discriminatory, violent, unauthorized content, or content that may violate image rights, copyrights, trade secrets, or personal data protection rules.
When the user processes third-party data in their operation, it is their responsibility to ensure they have an adequate legal basis and legitimacy for such processing.
6. Limitation of liability
GAIO is not responsible for business decisions, configurations, analyses, commands, content, integrations, or actions performed by the user or third parties based on the use of Gaio ProcessOS.
GAIO is also not responsible for unavailability caused by external factors, internet failures, incidents originating in third-party systems, environments managed by the customer, unlawful acts by users, or force majeure events.
In environments deployed on the customer's own infrastructure, the customer is responsible for keeping servers, databases, machines, access credentials, and security routines properly protected.
7. Conduct and protective measures
GAIO may adopt containment measures, investigation, blocking, feature limitation, or access termination whenever it identifies conduct incompatible with these terms, operational risk, abusive use, or rights violations.
Such measures may be applied without prior notice whenever necessary to protect the platform, the company, other users, or third parties.
8. Intellectual property
Ownership of the platform, its brand, software, layout, interfaces, databases, texts, materials, and other elements related to Gaio ProcessOS belongs to GAIO INNOTECH LTDA or to third parties that have licensed them.
Use of the platform does not transfer to the user any intellectual property rights other than the limited license to access and use it under these terms.
It is prohibited to copy, reproduce, distribute, modify, reverse engineer, commercialize, sublicense, or economically exploit the platform or its contents beyond the expressly authorized limits.
9. Privacy and data protection
The processing of personal data related to the use of Gaio ProcessOS will follow the Privacy Policy published on the site, which forms an integral part of these Terms of Use.
By using the platform, the user acknowledges that they must comply with the data protection legislation applicable to the information they enter, share, or process within the environment.
10. Amendments and final provisions
GAIO may update these Terms of Use at any time. The current version takes effect upon its publication on the Gaio ProcessOS website.
Whenever the law requires specific consent for a particular change, the user will be informed through appropriate means to express their choice.
The laws of the Federative Republic of Brazil shall apply, and the courts of Uberlandia, Minas Gerais, shall have jurisdiction over disputes related to these terms, except where mandatory law provides otherwise.
